These Terms of Service (“Terms,” “Terms of Service,” or “Agreement”) govern your access to and use of the LocalxReach website, platform, business directory, business listings, reviews, accounts, content, features, and related services (collectively, the “Services”).

LocalxReach may be operated by SEOxReach, doing business as LocalxReach (“LocalxReach,” “we,” “us,” or “our”).

By accessing, browsing, registering for an account, submitting a business listing, claiming a listing, posting content, purchasing a paid service, or otherwise using LocalxReach, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Services.

1. About LocalxReach

LocalxReach is an online platform designed to help users discover local businesses, services, professionals, organizations, and other establishments.

Businesses and users may submit information for publication on the platform. Visitors may search, browse, review, and interact with publicly available business information.

LocalxReach is a directory and discovery platform. It is not the owner, operator, employer, agent, representative, partner, or legal representative of the businesses listed on the platform unless we expressly state otherwise.

A business appearing on LocalxReach does not, by itself, mean that LocalxReach:

  • Owns the business
  • Operates the business
  • Employs the business’s personnel
  • Represents the business
  • Has a partnership with the business
  • Recommends or endorses the business
  • Guarantees the business
  • Certifies the business
  • Guarantees the quality of its products or services
  • Guarantees its licensing or qualifications
  • Guarantees its availability, pricing, or business practices

Users should independently evaluate and verify businesses before purchasing products or services or entering into any transaction.

2. Acceptance of These Terms

By using LocalxReach, you confirm that:

  • You have the legal capacity to enter into these Terms under applicable law.
  • You will use the Services only for lawful purposes.
  • You will provide accurate information when creating an account or submitting content.
  • You will comply with these Terms and applicable laws.
  • You will not use the Services in a way that harms LocalxReach, its users, businesses, or third parties.

If you are using LocalxReach on behalf of a company, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.

6. Responsibility for Business Listings

The person submitting a business listing is responsible for the accuracy, legality, and authorization of the information submitted.

By submitting a listing, you represent and warrant that:

  • You have the right to submit the information.
  • You have authority to represent the business where you claim to represent it.
  • The information is not knowingly false or misleading.
  • The information does not unlawfully infringe another person’s rights.
  • You have permission to use submitted photographs, logos, trademarks, descriptions, and other materials.
  • The listing complies with applicable laws.
  • The listing does not contain fraudulent or deceptive information.

LocalxReach does not guarantee that information submitted by businesses or users is accurate, complete, current, or error-free.

7. LocalxReach Does Not Own or Operate Listed Businesses

This section is a material part of these Terms.

LocalxReach provides an online directory and discovery platform.

Except where expressly stated otherwise, LocalxReach has no ownership, employment, agency, partnership, franchise, joint venture, or representative relationship with businesses listed on the platform.

A listing does not create any legal relationship between LocalxReach and the listed business.

LocalxReach is not responsible for:

  • The products or services offered by a listed business
  • Business conduct
  • Business employees or contractors
  • Business licensing
  • Business permits
  • Business qualifications
  • Business pricing
  • Business availability
  • Business policies
  • Business warranties
  • Business representations
  • Business advertising claims
  • Business transactions
  • Business disputes
  • Business injuries or damages
  • Business failures
  • Business cancellations
  • Business refunds
  • Business customer service

Any transaction or relationship between a user and a listed business is solely between those parties.

8. No Endorsement or Guarantee

The appearance of a business on LocalxReach does not constitute an endorsement, recommendation, certification, approval, sponsorship, or guarantee by LocalxReach.

If a listing contains labels, badges, ratings, reviews, verification indicators, or other information, users should understand what that particular indicator represents before relying on it.

Unless expressly stated otherwise, LocalxReach does not guarantee that a business:

  • Is properly licensed
  • Is insured
  • Is qualified
  • Is reputable
  • Is safe
  • Is available
  • Will provide satisfactory services
  • Will honor advertised prices
  • Will fulfill an order
  • Will comply with applicable laws

Users are responsible for independently verifying information that is important to their decision.

9. Business Listing Accuracy

LocalxReach may provide tools that allow businesses to create, edit, claim, or manage listings.

However, LocalxReach does not guarantee that all business information is accurate or current.

Businesses are responsible for keeping their listings accurate.

If you discover incorrect information, you may report it to LocalxReach.

We may investigate, correct, restrict, or remove information at our discretion.

10. Claiming a Business Listing

LocalxReach may allow a business owner or authorized representative to claim an existing listing.

By claiming a listing, you represent that:

  • You are the business owner or authorized representative.
  • The information you provide is accurate.
  • You have authority to manage the listing.
  • You will not use the listing to misrepresent the business.

We may request additional information to verify a claim.

LocalxReach may approve, reject, suspend, or revoke a claimed listing at its discretion.

11. User-Generated Content

LocalxReach may allow users and businesses to submit:

  • Reviews
  • Ratings
  • Photos
  • Videos
  • Comments
  • Business descriptions
  • Questions
  • Answers
  • Logos
  • Links
  • Other content

All such material is referred to as “User Content.”

You remain responsible for the User Content you submit.

12. User Content Requirements

You agree not to submit User Content that:

  • Is false or intentionally misleading
  • Is fraudulent
  • Impersonates another person or business
  • Is defamatory or unlawfully harmful
  • Violates another person’s privacy
  • Contains confidential information without authorization
  • Infringes copyright
  • Infringes trademarks
  • Infringes patents
  • Violates publicity or personality rights
  • Contains malware or malicious code
  • Contains illegal material
  • Promotes illegal activities
  • Contains threats
  • Contains harassment
  • Contains hate-based abuse
  • Contains explicit sexual material where prohibited
  • Exploits or endangers minors
  • Contains spam
  • Manipulates reviews or ratings
  • Attempts to artificially influence search results
  • Contains unauthorized advertising
  • Contains another person’s personal information without lawful authorization

13. Reviews and Ratings

LocalxReach may allow users to submit reviews and ratings.

Reviews should represent genuine experiences.

You may not:

  • Submit fake reviews
  • Pay for fake reviews
  • Offer compensation for misleading reviews
  • Review a business without a genuine basis
  • Review your own business in a misleading manner
  • Create multiple accounts to manipulate ratings
  • Coordinate fake reviews
  • Intentionally manipulate ratings
  • Post reviews on behalf of another person without authorization

Businesses must not artificially manipulate their ratings or reviews.

LocalxReach may remove or restrict reviews that violate these Terms or applicable policies.

We do not guarantee that every review represents the views of LocalxReach.

14. LocalxReach Does Not Guarantee User Content

LocalxReach does not guarantee the accuracy, reliability, legality, quality, or completeness of User Content.

User Content represents the views and statements of the person who submitted it.

User Content does not necessarily represent the views of LocalxReach.

You should independently evaluate information before relying upon it.

15. Right to Remove Content

LocalxReach reserves the right, but does not assume an obligation, to review, restrict, modify, reject, disable, or remove any listing or User Content that we believe:

  • Violates these Terms
  • Violates applicable law
  • Violates another policy
  • May create legal risk
  • May create security risk
  • Is fraudulent
  • Is misleading
  • Is abusive
  • Infringes another person’s rights
  • Is spam
  • Is inappropriate for the platform
  • Is submitted without authorization

We may take action with or without prior notice when reasonably necessary.

16. Reports and Complaints

If you believe a business listing, review, photograph, logo, description, or other content violates your rights or these Terms, you may contact LocalxReach.

Where appropriate, please provide:

  • Your name
  • Contact information
  • The URL of the listing or content
  • A description of the issue
  • Your relationship to the content or business
  • Supporting information
  • Any documentation reasonably necessary to evaluate your claim

Submitting a complaint does not guarantee removal.

LocalxReach may request additional information before taking action.

17. Copyright and Intellectual Property Complaints

You may not upload, publish, or distribute copyrighted material unless you have the necessary rights or authorization.

If you believe content on LocalxReach infringes your copyright, you may submit a copyright complaint through our designated copyright process.

Where applicable, LocalxReach may maintain a designated agent and procedures for copyright infringement notices under the Digital Millennium Copyright Act.

Where a valid notice is received, LocalxReach may remove or disable access to the allegedly infringing material as required or appropriate under applicable law.

Copyright notices should contain sufficient information to identify the copyrighted work, the allegedly infringing material, the complaining party, and the required statements and certifications.

LocalxReach may also process counter-notices where applicable.

18. Trademark Complaints

If you believe a listing or other content improperly uses your trademark, business name, logo, or other protected identifier, you may contact LocalxReach.

Please provide sufficient information for us to understand:

  • The trademark or protected identifier
  • Your ownership or authorization
  • The allegedly problematic content
  • The listing URL
  • The nature of the alleged infringement
  • Supporting documentation

LocalxReach may investigate and take appropriate action.

19. License to User Content

By submitting User Content to LocalxReach, you grant LocalxReach a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, format, adapt, modify, translate, promote, and otherwise use that User Content as reasonably necessary to operate, maintain, promote, and improve the Services.

This license continues for as long as reasonably necessary for those purposes and, where technically or legally necessary, for archival, backup, legal, security, or dispute-resolution purposes.

You retain ownership of your User Content, subject to the rights granted under these Terms.

You represent that you have the necessary rights to grant this license.

20. Business Logos, Photos, and Trademarks

If you submit a business logo, photograph, trademark, brand name, description, or other business material, you represent that you have the right to use and submit that material.

You authorize LocalxReach to display the material as part of the relevant business listing and the Services.

You must not submit another business’s copyrighted or trademarked material without authorization.

21. LocalxReach Intellectual Property

The LocalxReach name, logo, website design, software, platform features, original text, graphics, branding, layout, and other materials created or owned by LocalxReach are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not:

  • Copy LocalxReach’s proprietary materials
  • Reproduce the website
  • Modify the platform
  • Sell or redistribute platform content
  • Reverse engineer the Services
  • Scrape the platform in violation of applicable restrictions
  • Use LocalxReach branding without permission
  • Create a competing service using proprietary LocalxReach materials

22. Third-Party Content and Services

LocalxReach may display or link to third-party websites, maps, advertisements, payment services, analytics services, social media platforms, and other third-party services.

Third-party services are controlled by their respective providers.

LocalxReach does not guarantee the availability, accuracy, security, or policies of third-party services.

Your use of third-party services may be governed by their own terms and privacy policies.

23. Business Transactions

LocalxReach does not generally participate in transactions between users and listed businesses.

If you purchase a product or service from a business found through LocalxReach, the transaction is between you and that business.

LocalxReach is not responsible for:

  • Payments
  • Refunds
  • Cancellations
  • Product quality
  • Service quality
  • Delivery
  • Customer support
  • Warranties
  • Disputes
  • Damages
  • Injuries
  • Losses
  • Business representations

Any dispute regarding a business’s products or services should generally be addressed directly with that business.

24. Pricing and Business Information

Business information displayed on LocalxReach may change without notice.

LocalxReach does not guarantee that prices, hours, availability, promotions, contact information, services, or other business information are current or accurate.

Users should confirm important information directly with the business.

25. Prohibited Activities

You agree not to use LocalxReach to:

  • Commit fraud
  • Scam users
  • Impersonate others
  • Create fraudulent listings
  • Submit false business information
  • Manipulate reviews
  • Scrape information unlawfully
  • Distribute malware
  • Attack or interfere with the website
  • Attempt unauthorized access
  • Circumvent security controls
  • Abuse APIs
  • Send spam
  • Harass users
  • Collect personal information unlawfully
  • Violate intellectual-property rights
  • Violate privacy rights
  • Conduct unlawful activities
  • Upload malicious files
  • Circumvent account restrictions
  • Create multiple accounts to evade enforcement
  • Manipulate search rankings
  • Manipulate business ratings
  • Use automated systems in a manner that harms the Services
  • Interfere with other users’ access to the Services

26. Automated Access and Scraping

Unless expressly authorized by LocalxReach, you may not use automated systems, bots, crawlers, scrapers, scripts, or similar technologies to access, copy, collect, reproduce, monitor, or redistribute LocalxReach content in a manner that violates applicable law, these Terms, or our technical restrictions.

LocalxReach may implement technical measures to protect the platform from excessive or unauthorized automated access.

27. Paid Services and Subscriptions

LocalxReach may offer free and paid listing plans, upgrades, advertising products, additional locations, media features, subscriptions, or other services.

Paid features may be subject to additional terms displayed at the time of purchase.

Prices and features may change.

Where applicable, charges will be presented before purchase.

You authorize the applicable payment provider to process authorized charges.

28. Subscription Cancellation

If a paid service is provided on a recurring basis, you may cancel the subscription according to the cancellation method provided by LocalxReach.

Cancellation generally prevents future recurring charges but does not automatically create a refund for previous charges unless required by law or expressly provided by the applicable offer.

Certain purchases may be non-refundable except where applicable law requires otherwise.

29. Suspension and Termination

We may suspend, restrict, or terminate your account or access to the Services if we reasonably believe that:

  • You violated these Terms
  • You violated applicable law
  • You submitted fraudulent content
  • You abused the platform
  • You created security risks
  • You manipulated reviews
  • You infringed intellectual-property rights
  • You engaged in spam
  • Your activity creates legal or operational risk
  • Your activity harms other users or the platform

We may also discontinue or modify portions of the Services at any time.

30. Effect of Termination

Upon termination:

  • Your account may become inaccessible.
  • Your listings may be removed, restricted, or retained where permitted.

Sections that by their nature should survive termination will continue to apply.

31. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

LOCALXREACH DOES NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • THE SERVICES WILL BE ERROR-FREE;
  • BUSINESS INFORMATION WILL ALWAYS BE ACCURATE;
  • LISTINGS WILL ALWAYS BE CURRENT;
  • REVIEWS WILL ALWAYS BE ACCURATE OR AUTHENTIC;
  • THE PLATFORM WILL BE SECURE OR FREE FROM MALWARE;
  • THE SERVICES WILL MEET YOUR PARTICULAR REQUIREMENTS;
  • BUSINESS SERVICES OR PRODUCTS WILL MEET YOUR EXPECTATIONS;
  • THIRD-PARTY SERVICES WILL REMAIN AVAILABLE;
  • INFORMATION ON THE PLATFORM WILL BE COMPLETE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALXREACH DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

32. Business Listing Disclaimer

LOCALXREACH DOES NOT ASSUME RESPONSIBILITY FOR THE BUSINESSES, ORGANIZATIONS, PROFESSIONALS, SERVICE PROVIDERS, PRODUCTS, OR SERVICES LISTED ON THE PLATFORM.

A business listing is not a guarantee, certification, recommendation, endorsement, or representation by LocalxReach.

Users are solely responsible for evaluating businesses and determining whether a business is appropriate for their needs.

33. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCALXREACH AND ITS OWNERS, OPERATORS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

  • YOUR USE OF THE SERVICES;
  • YOUR INABILITY TO USE THE SERVICES;
  • BUSINESS LISTINGS;
  • USER CONTENT;
  • REVIEWS;
  • BUSINESS TRANSACTIONS;
  • THIRD-PARTY SERVICES;
  • PRODUCTS OR SERVICES PROVIDED BY LISTED BUSINESSES;
  • LOSS OF DATA;
  • LOSS OF PROFITS;
  • LOSS OF BUSINESS;
  • LOSS OF GOODWILL;
  • UNAUTHORIZED ACCESS;
  • WEBSITE INTERRUPTION;
  • CONTENT ERRORS;
  • ACTIONS OR OMISSIONS OF LISTED BUSINESSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF LOCALXREACH ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO LOCALXREACH FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.

34. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LocalxReach and its owners, operators, affiliates, officers, directors, employees, contractors, service providers, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal expenses, arising out of or related to:

  • Your violation of these Terms
  • Your User Content
  • Your business listing
  • Your reviews
  • Your violation of another person’s rights
  • Your infringement of intellectual property
  • Your violation of privacy rights
  • Your violation of applicable law
  • Your transactions with listed businesses
  • Your misuse of the Services
  • Any claim that your submitted content was unauthorized or unlawful

35. Release

To the maximum extent permitted by law, you release LocalxReach and its owners, operators, affiliates, officers, directors, employees, contractors, service providers, and agents from claims arising from disputes between you and:

  • A listed business
  • A business owner
  • Another user
  • A reviewer
  • A service provider
  • Any other third party encountered through the Services

This includes disputes concerning products, services, payments, reviews, representations, communications, business conduct, or transactions.

You understand that LocalxReach is not a party to transactions between users and listed businesses unless expressly stated otherwise.

36. No Professional Advice

Information provided through LocalxReach is for general informational and discovery purposes.

LocalxReach does not provide legal, medical, financial, tax, insurance, employment, security, engineering, or other professional advice merely by displaying business information.

Users should consult appropriately qualified professionals when professional advice is required.

37. Geographic Availability

LocalxReach may be accessible from different countries and jurisdictions.

We do not represent that the Services or all content are appropriate or legally available in every location.

If you access LocalxReach from a jurisdiction where use of the Services is prohibited, you are responsible for complying with applicable local laws.
